INTRODUCTION
Welcome to AfriCred Technology Services Limited, a platform dedicated to providing global mobility services, including support for graduate and postgraduate university admissions, visa applications, tuition fee guidance, and loan facilitation (“the Services”). These Terms and Conditions (“Terms”) form a binding agreement between you (the “User,” “you,” or “your”) and AfriCred Technology Services Limited, along with its affiliates and subsidiaries (“AfriCred,” “we,” “us,” or “our”).
These Terms govern your use of our website, www.africred.org and all associated platforms, social media accounts, applications or tools, and the products and services owned, operated, licensed and controlled by AfriCred (together referred to as the “Platform”). Our Privacy and Refund Policy are also incorporated into this Terms, which all together are applicable/apply to the use of our Services and access to our Platform.

ACCEPTANCE OF TERMS
Please read these Terms carefully before using our Platform or Services as they include important information about your rights and responsibilities, as well as limitations and exclusions that may apply to you. Please refrain from using the Platform or our Services if you do not agree with any of these Terms. By accessing or using the Platform or any of our Services, you confirm your understanding and acceptance of these Terms, which form a legally binding agreement between you and AfriCred.
We reserve the right, at our sole discretion, to modify or replace these Terms from time to time by posting the updated terms on the Platform. It is your responsibility to check the Terms periodically for changes. If you object to any such change, your sole recourse will be to cease using the Platform and the Service. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised terms.
We also reserve the right to change, suspend, or discontinue the Service (including, but not limited to, the availability of any feature, database, or content) as deemed necessary. In addition, we may impose limits on certain features of the Platform and the Services or restrict your access to parts of or the entire Platform without prior notice or liability.

CONTENT
We may remove or amend the content on the Platform at any time, without notice, and we accept no liability, no matter how that may be caused, arising from us doing so. It is your responsibility to comply with all applicable laws, including ensuring that your access and/or use not only complies with the Terms and Condition, but also with the laws of the jurisdiction from which your use or access is made. Whilst we will take all reasonable steps to ensure that all the information included on the Platform is correct, up to date and complete, we do not represent to you the completeness or accuracy of the Platform or its content, including but not limited to statistical information published by us on the Platform, and we accept no liability, no matter how that may be caused, arising from any information which is not correct, up to date, complete, or which has been superseded.

ACCESS TO THE SERVICES
To access the Services, you must register and create an account on our Platform. Upon the completion of your registration, you will be required to complete an enrolment form on the Platform. As part of the registration process, you will need to accept these Terms and our Privacy Policy, and you must have legal capacity to accept the same.
By registering on the AfriCred Platform or by accessing the Services, you declare that you are 18 years or older and you represent and warrant to us that your registration on the Platform does not violate any laws or regulations applicable to you. You shall indemnify us against any losses we incur in connection with your breach of this section. You also consent that we may collect, obtain, store and process your personal data that you have provided to us during the onboarding process for the purpose of receiving updates, news, promotional and marketing emails or materials from AfriCred.
Upon successful registration, you will receive a confirmation email. Users are then required to book a one-on-one session with an AfriCred counselor. This session requires payment of a one-time, non-refundable fee, payable to the designated AfriCred account. Only payments made to the account specified on the Platform will be recognized. AfriCred is not liable for payments made to any unauthorized accounts or third parties.
In addition to the initial counseling fee, you will be required to pay the applicable application fees for the specific Service you wish to access or intend to utilize. Access to services will only commence after receipt of the required payments. All payments for any Services offered or intended to be accessed by you must be made exclusively to AfriCred’s designated accounts. Only payments made to these official account details will be recognized. AfriCred shall not be held liable for any payments made to accounts not expressly specified on our Platform.
To ensure the effective delivery of Services, authorized AfriCred personnel may contact you at various stages of your application via different communication channels, such as WhatsApp or phone calls. You may access our Services through the AfriCred platform or by engaging with our Student Advisors. It is essential that you act solely on information provided by accredited personnel or Student Advisors officially recognized and designated by AfriCred.

SCOPE OF SERVICES
AfriCred is a one-stop global mobility platform offering end-to-end educational and career support. Our services include, but are not limited to:

Free Online Courses:
- AfriCred offers up to 100 (One Hundred) free STEM courses to registered users of the Platform. These courses are designed to enhance skills and improve career opportunities.
- You acknowledge that the course content is provided "as is" and may be subject to updates, modifications, or removed at AfriCred’s discretion.
- AfriCred does not guarantee certifications, accreditations, or employment opportunities upon course completion.

Admissions Processing
Counselling
- We offer expert counseling sessions to assist you with your admissions and applications; where we discuss your academic profile, educational preferences, career aspirations and any other specific requirements you may have.
Personalized Admissions Support
- To access the personalized admissions support, you would be required to pay a one-time, non-refundable service access fee of $20 (Twenty Dollars). Please note that the $20 service fee is non-refundable, even if you decide to cancel the process, or for any other reason choose not to continue with accessing or obtaining or receiving the Service after paying the fee.
- We will assist you in applying to universities partnered with AfriCred ("Partner Institutions").
- We also where necessary offer tailored advice on course selection and university options.
- We will communicate with Partner Institutions on your behalf, but we do not guarantee admission or acceptance into any institution.
- You are responsible for providing accurate and complete documentation as required by the Partner Institutions for your application. We would communicate the relevant or requisite information/documents required by the Partner Institutions to you, however it is your duty to provide these documents/information.
- We will at all time share requisite information solely through authorized AfriCred information dissemination channels - WhatsApp and our email address. You are required to act solely on the information provided by our accredited student advisors.

Visa Application Processing
- We provide general advice and guidance on visa application processes, including document preparation and submission of the requisite documents and information at a fee.
- You acknowledge that visa decisions are solely at the discretion of the relevant immigration authorities, and that we do not guarantee visa approvals.

Loan Facilitation
- We act as liaison between you and third-party lenders, to provide assistance on financing options for your tuition fees at an interest rate.
- This service includes providing information on available loan options and liaising on your behalf with potential loan platforms strictly for your tuition payments.
- We are not a lender and we do not guarantee loan approvals. Loan terms, eligibility, and conditions are determined solely by the third-party lender, which we will duly communicate with you.
- You must evaluate loan offers and make your independent decision to access and obtain these loans yourself.
- The agreements for these loans shall be between yourself and the third-party lenders.

Global Remittance Services
- We offer and enable seamless international funds transfers for education-related purposes.
- Remittance services are provided through licensed third-party payment providers. You agree to the terms and conditions of these providers when using this service.
- AfriCred is not liable for delays, fees, or issues arising from third-party remittance services.
Service BoundariesIt is important to emphasize that AfriCred does not guarantee university admission, visa approval, or loan disbursement. All Services are currently provided pursuant to relevant partnerships with reputable and established Partner Institutions and lending platforms, as applicable, and under the licenses of third parties.
AfriCred itself does not hold a direct license for lending nor does it disburse funds for borrowing. All advice and guidance we provide are tailored to the information you share with us. Please note that we do not control the funds, nor do we directly offer loans. Our role is limited to facilitating connections between students and lending institutions.
We are under no contractual obligation to commence the Services or proceed with your application until you have: (a) paid the requisite fees for the specific Service(s), and provided evidence of this payment; and (b) satisfactorily submitted all required documents and information as determined and communicated by us, to enable us commence your application.
The timeline for the provision of the Services shall be as duly communicated by the Student Advisor assigned to your application. We shall not be held liable for any delays or errors arising by you due to late submission of requisite documents; inaccuracies in the provided information/documentation; incomplete or delayed payment or delays caused ensued by Partner Institutions or an embassy, as applicable. The application timeline will commence only when all requisite documents and information have been fully submitted as requested by the Student Advisor assigned to you.
We will operate with you in accordance with these Terms, and our acceptance of any contractual performance from you shall not be construed as an acceptance of terms that differ from or contradict these Terms. You agree to indemnify us against any consequences resulting from your reliance on any contractual terms, or any statement, understanding or representation which is not contractually agreed as set out in this Terms. Any amendments or deviations from these Terms must be set out in a separate agreement, duly executed by a director or other senior officer of the Company, with their valid signatures and the Company seal affixed to such executed agreement.

USER RESPONSIBILITIES
By using the AfriCred platform, you agree to:
- provide accurate, and up-to-date information during registration and throughout the use of our services;
- pay applicable fees promptly and in accordance with the stated payment terms;
- adhere strictly to the rules and guideline for the use of the Platform and access to our services as delineated on the Platform or as communicated with you by any our Student Advisors;
- use the platform solely for lawful purposes and in accordance with these Terms, and applicable laws and regulations;
- maintain confidentiality of your login credentials and notify AfriCred immediately in case of unauthorized access;
- not misuse the Platform by introducing malicious software, accessing unauthorized areas, or engaging in fraudulent activities;
- not transmit any material that is defamatory, offensive or otherwise objectionable in relation to your use of the Platform or any Service;
- not use the Platform or any Service in a way that could damage, disable, overburden, impair or compromise our system or security or interfere with other users;
- not collect or harvest any information or data from any Service or our systems or attempt to decipher any transmissions to or from the servers running any Service; and
- comply with all terms and conditions of third-party service providers, including Partner Institutions, lenders, and payment platforms.
Failure to adhere to these responsibilities may result in suspension or termination of access to the Platform or Services.

FEES AND PAYMENT POLICIES
All fees, including the initial service access fee, are non-refundable unless otherwise stated. The cost of the Services will be as stated in the relevant Invoice or in the Specific Agreement, or email instruction (if no Invoice is issued), or as orally communicated with you via any of our communication channels by our accredited and recognized International Student’s Recruitment Consultant. You understand that we may not commence any of the Services required until we receive the payment of the Service Access Fee. Once you indicate your intention to access our Services, you will be required to make the payment of a non-refundable fee of $20, which is required to initiate a personalized counseling and application services.
You may be required to pay fees for specific services, such as university application fees, visa processing fees, or loan facilitation charges. These fees will be communicated clearly in advance. All requisite payments can be made via the payment gateways specified on our platform. Where we are unable to confirm receipt of any payment made, we reserve the right to suspend or terminate the provision of the Services until receipt of such payment.
You agree to honor your payment obligations and you are okay with us storing your payment information. You understand that there may be fees and taxes that are added to our prices, and you understand that in certain cases, due to unforeseen circumstances or change in situations, we may request for additional payments/fees in addition to initial payments requested.

NOTICES AND MESSAGES
You acknowledge that you are satisfied with us providing notices and messages to you in the following ways: (1) through our Platform or (2) sent to the contact information you provided us (e.g., email, mobile number, physical address). If your contact information is out of date, you may miss out on important notices.

PRIVACY AND DATA PROTECTION
Your privacy is important to us. We collect, process, and store personal data in compliance with applicable data protection laws. Please refer to our Privacy Policy, which also governs your use of our Platform and the Services (https://africred.org/privacy-policy) for detailed information on how we handle your data. By using our platform, you consent to the collection and use of your data as described in our Privacy Policy.

INTELLECTUAL PROPERTY RIGHTS
We own all present and future interests and rights to registered and unregistered trademarks, names, logos, course materials, designs, databases, including any update to our intellectual property, existing in or in relation to the Platform and our Services (“our Intellectual Property”). You must not make any unauthorised use of our Intellectual Property and any unauthorised use may result in prosecution. We grant you a limited, non-transferable license to access content on our Platform solely for personal and non-commercial purposes. Unauthorized reproduction, distribution, or modification of content is prohibited. Without limiting any rights you have in your personal data, in relation to any information or material you send to us through this Platform, you hereby grant us a worldwide, royalty-free, perpetual licence to the copyright and other intellectual property rights in such information or material for any purpose we consider appropriate including, without limitation, copying, sending, distributing or publishing the same, unless where restricted by law. We do not warrant or represent that the content of the Platform does not infringe the rights of any third party.

LIMITATION OF LIABILITY
AfriCred shall not be liable for rejections of admissions applications, visa decisions, or loan approvals; losses arising from delays, inaccuracies, or errors in information provided by users or third parties; indirect, incidental, or consequential damages, including loss of income or opportunity. AfriCred does not guarantee the availability, quality, or terms of any loan products offered by third parties.
AfriCred makes no representation about the availability or accuracy of the Services, including any representation that the services will be uninterrupted or error-free, and provide the services (including content and information) on an “as is” and “as available” basis, to the fullest extent permitted under applicable law. AfrriCred and its affiliates disclaim any implied or statutory warranty, including any implied warranty of title, accuracy of data, non-infringement, merchantability or fitness for a particular purpose. we are not liable for any actions taken or not taken by users based on information provided through our Platform. In no event shall AfriCred, its affiliates, or partners be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services.

INDEMNITY
You hereby indemnify AfriCred (including its directors, employees, partners, third party partners, agents, and affiliates) and hold it harmless against any action, demand, claim, loss, charge, damage, expense, or fees (actual or consequential) including attorney and accounting fees, which AfriCred may suffer or incur as a result of:
- Your access and use of our Services and Platform;
- a breach of these Terms;
- your provision of incorrect, incomplete, wrong or false information;
- acting on your requests with respect to the provision of our Services; and/or
- third party claims relating to your use of our Services including but not limited to matters relating to infringement of copyright, trademark, trade name or other intellectual property.
On no account will AfriCred or any of the indemnified persons above be liable for any demand, claim, loss or damage which you may sustain:
- our acting in accordance with your requests or requests purported to be from you;
- from the malfunction or failure or unavailability of any hardware, software, or equipment, the loss or destruction of any data, power failures, corruption of storage media, natural phenomena, riots, acts of vandalism, sabotage, terrorism, any other event beyond AfriCred’s control, interruption or distortion of communication links or arising from reliance on any person or any incorrect, illegible, incomplete or inaccurate information or data contained in any request received by AfriCred;
- any unauthorised access to your account on the Platform or any breach of security or any destruction or accessing of your data or any destruction or theft of or damage to any of your devices;
- or loss or damage occasioned by the failure or unavailability of third-party facilities or systems or the inability of a third party to process a transaction; and
- any claims where the circumstance is within your control.

LINKS TO AND FROM OTHER WEBSITES
Where our Platform contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those sites or resources. It is your responsibility to make sure that you are familiar with the terms and conditions for these third-party sites and that you are willing to accept such terms. We accept no liability, no matter how that may be caused, for any failure on your part to view or comply with those terms, conditions and policies.

SERVICE AVAILABILITY
We reserve the right to limit the availability of some features on our Platform, or end any of our Services, without recourse to you. We also reserve the right to modify, suspend or discontinue any of our Services. We may also limit the availability of features, content and other information so that they are not available to all (e.g., by country or by subscription access). We don’t promise to store or show (or keep showing) any information (including content) that you’ve shared. You agree that we have no obligation to store, maintain or provide you a copy of any content on our Platform, except to the extent required by applicable law and as noted in our Privacy Policy.

DISCLAIMER
AfriCred acts as a facilitator connecting students with universities, service providers, and financial institutions. We do not determine the outcomes of your applications nor do we own funds, nor are we directly involved in the lending processes. Other than as specifically set forth herein, the Services is provided “AS IS” and “WITH ALL FAULTS” and without warranty of any kind. You agree that the use of the Services is at your risk.
AfriCred makes no representation or warranty of any kind to you or any third party, express, implied or statutory, about the quality, suitability or availability of the Services, operation of the Services, or output of or results obtained from the Services, or services provided by third parties, including, without limitation, any implied warranty of merchantability, fitness for a particular purpose, operability, compliance with applicable law or non-infringement and all such warranties are hereby excluded by AfriCred and waived by you.
AfriCred disclaims any warranties, express or implied, related to the services or outcomes facilitated through its platform, including but not limited to loan approvals, visa issuance, or university admissions. AfriCred is not responsible for any misinformation, misrepresentation, or discrepancies in services rendered by third-party partners.

ENTIRE AGREEMENT
These Terms, our Refund Policy and our Privacy Policy as well as such additional terms as may be made available to you on our Platform, constitute the entire agreement between you and us, and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, relating to its subject matter.
You acknowledge that in entering into these Terms you have not relied on any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms or our Privacy Policy or our Refund Policy, or on the Platform.

TERMINATION AND SUSPENSION
AfriCred may suspend or terminate your access to the Platform where you, breach these Terms; engage in unlawful activities; and for non-payment of requisite fees. Termination does not relieve you of the obligation to pay outstanding fees.

GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be resolved in the courts of Nigeria, unless otherwise agreed upon in writing.

MODIFICATION OF TERMS
AfriCred reserves the right to update or modify these Terms at any time. Changes will be effective immediately upon posting on the Platform. Your continued use of the Platform after changes have been effected constitutes your acceptance of the revised terms.
